TERMS AND CONDITIONS OF USE AND VENDOR PARTICIPATION

Welcome to Bluebonnet Market. The following Terms and Conditions (“Agreement”) govern your use of this website and your participation as a vendor at our market. By using this website and/or purchasing any vendor services, you agree to be legally bound by these terms.


Section I: Definitions

  • “Company” refers to Bluebonnet Market, LLC.

  • “Vendor” or “You” refers to any individual or entity booking vendor space via this website.

  • “Website” refers to bluebonnet.market and all associated domains.

  • “Permanent Vendor Plan” refers to recurring vendor subscriptions (weekly, four-week, or annual).

  • “Pop-Up Vendor” refers to one-day vendor bookings.


Section II: Vendor Participation Terms

2.1 Vendor Eligibility You must be at least 18 years old to register, make a payment, or participate as a vendor. By completing any transaction, you affirm that you meet these eligibility requirements.

2.2 Booking Types and Obligations

a. Pop-Up Vendor Pass (One-Day)

  • Valid for the single Saturday selected at checkout.

  • Does not auto-renew.

  • Non-refundable and non-transferable.

b. Permanent Vendor Plans (Subscription)

  • 4-Week Plan (Billed Weekly): Four consecutive Saturdays billed weekly. Commitment to complete all 4 payments is required.

  • 4-Week Plan (Paid Upfront): Discounted rate paid in advance. Non-refundable. Auto-renews unless canceled before renewal.

  • Annual Plan: Paid annually, valid for every Saturday during the term. Auto-renews unless canceled before renewal.

By purchasing any Permanent Vendor Plan, you agree to:

  • Pay for the entire committed term (weekly, 4-week, or annual)

  • Not cancel mid-term; cancellations only apply to future renewals

  • No credits, transfers, or refunds will be issued for missed market dates

2.3 No Refund Policy All sales are final. No refunds will be given for weather, scheduling conflicts, dissatisfaction, technical errors, low foot traffic, or any reason. If the Company cancels a market due to emergency, you may be offered a rescheduled date, but no refund is guaranteed.

2.4 Vendor Conduct & Market Rules Vendors must:

  • Arrive on time and set up in their assigned location

  • Keep their booth space clean and safe

  • Treat staff, fellow vendors, and guests respectfully

  • Not infringe on neighboring booth spaces or cause disruptions The Company reserves the right to revoke vendor privileges for misconduct or violations without refund.

2.5 Legal Compliance and Licensing You acknowledge that you are solely responsible for complying with all local, state, and federal laws relevant to your business, including:

  • Business licenses

  • Food safety certifications

  • Health department approvals

  • Sales tax registration and remittance

  • Fire and safety codes Bluebonnet Market does not assume responsibility for your legal compliance.

2.6 Mandatory Insurance All vendors must carry active general liability insurance, which covers injuries, damages, or claims that may arise during your participation. The Company reserves the right to request proof of coverage at any time. Failure to carry insurance may result in termination of your participation without refund.

2.7 Waiver of Liability By participating in Bluebonnet Market, you agree to release, indemnify, and hold harmless Bluebonnet Market, its officers, members, contractors, landlords, and affiliated parties from all liability, claims, damages, injuries, losses, or expenses — including legal fees — arising from:

  • Your participation

  • Your products or services

  • Customer interactions

  • Booth setup or teardown

  • Weather or environmental conditions You accept full personal and business responsibility for your booth and its operation.

2.8 Booth Assignment and Facility Rules

  • Booth locations are assigned at the discretion of management and are not guaranteed.

  • Vendor requests will be considered but are not binding.

  • Electricity, water, or other utilities are not guaranteed.

  • All vendor equipment must be secured for safety. Tents, tables, or signage must not create hazards.

2.9 Revocation of Access Your access to the market may be terminated without refund if you:

  • Violate these terms

  • Fail to pay your subscription

  • Behave in a disruptive or unsafe manner

  • Fail to obtain or maintain necessary permits or insurance


Section IIA: Donations By making a donation through our website or at any Bluebonnet Market-affiliated event, you acknowledge and agree to the following:

  • All donations are made voluntarily to support Bluebonnet Market’s operations, programming, and community initiatives.

  • Donations are non-refundable and are not considered payment for goods, services, or vendor space.

  • Donations do not entitle you to any ownership, financial interest, or voting rights in Bluebonnet Market or any affiliated entity.

  • Bluebonnet Market is not a 501(c)(3) nonprofit unless otherwise explicitly stated. As such, donations are not tax-deductible under current law.

  • The Company reserves the right to allocate donated funds at its sole discretion for purposes aligned with the growth and sustainability of the market.

Section IIB: Media Release By participating in Bluebonnet Market, you grant the Company the right to photograph, record, or film your booth and display, and to use such media in promotional materials, social media, or other marketing channels without compensation. You waive any rights to inspect or approve the final use of such materials.

Section IIC: Force Majeure The Company is not liable for delays, cancellations, or disruptions caused by acts of God, weather, public health emergencies, power outages, government restrictions, or other unforeseeable events beyond our control.

Section IID: Payment Disputes You agree not to initiate chargebacks or payment disputes without first contacting the Company to resolve the issue. Unauthorized chargebacks may result in removal from future market participation and legal recovery of funds, including fees incurred.

Section IIE: General Provisions If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire understanding between you and the Company and supersedes all prior agreements, oral or written.


Section III: Website Terms of Use

3.1 Intellectual Property All content on this site, including logos, graphics, code, videos, and text, is the property of Bluebonnet Market, LLC. Unauthorized use, reproduction, or distribution is prohibited.

3.2 Account Management You are responsible for maintaining the confidentiality of your login credentials. You agree not to share access or impersonate others.

3.3 Prohibited Use You agree not to:

  • Interfere with the site’s operation or security

  • Use the site for fraudulent or unlawful purposes

  • Post content that is defamatory, infringing, or harmful

  • Circumvent our systems or attempt unauthorized access

3.4 Third-Party Links This site may link to external websites or platforms. We do not control these sites and are not responsible for their content or policies. Use them at your own risk.

3.5 Data & Privacy Basic personal data is collected for booking and communication purposes. We do not sell your data to third parties. Payment processing is handled via third-party platforms (e.g., Stripe), and we do not store full credit card data.

3.6 Disclaimers All services are provided “as-is.” We do not guarantee site uptime, booking availability, or sales performance. We are not liable for damages resulting from:

  • Site outages

  • Booking errors

  • Vendor disputes

  • External service providers


Section IV: Legal & Enforcement

4.1 Indemnification You agree to indemnify, defend, and hold harmless Bluebonnet Market, LLC from any claims, actions, losses, or liabilities arising out of:

  • Your use of this website

  • Your vendor activity

  • Your violation of these terms

  • Any product, service, or act of negligence on your part

4.2 Limitation of Liability To the maximum extent permitted by law, Bluebonnet Market shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the site or participation in the market.

4.3 Governing Law and Dispute Resolution These terms shall be governed by the laws of the State of Texas. Any legal action must be brought in a court of competent jurisdiction in Harris County, Texas. You agree to attempt informal resolution of any disputes before initiating formal proceedings.

4.4 Changes to Terms We may update these Terms at any time. Continued use of the website or market constitutes agreement to the most current version.
